General Terms of Use and Sale

SkillED — applicable to the mobile application, the website www.skilled-dz.com and the online sale of Starter Kits and SkillED boxes.

Document drafted in accordance with Law No. 18-07 of 10 June 2018 on the protection of individuals with regard to the processing of personal data (People's Democratic Republic of Algeria).

This document is a model drafted as assistance and a legal starting point, inspired by the practices of other Algerian e-commerce platforms. It must be reviewed and validated by a lawyer admitted to the Algerian bar before publication — in particular the exact legal form of SkillED, the declaration/authorization with the ANPDP, the RC/NIF/NIS details, the actual payment and delivery arrangements adopted, and compliance with Law No. 04-02 on the rules applicable to commercial practices and Law No. 09-03 on consumer protection.

The websites and application mentioned above constitute a "phygital" educational platform (hereinafter "SkillED", "the Platform", "we", "our") intended for the playful learning of entrepreneurship, financial education, creativity & branding and technopreneurship for young people aged 12 and over, combining a gamified mobile application, a website, physical game boxes ("Starter Toolkit") and workshops. The Platform is operated in Algeria in accordance with the regulations in force.

The terms "you", "User", "Customer" or "Buyer" designate any natural person using the Platform, consulting its content, creating an account, or placing an order for a Starter Kit or a SkillED box — it being specified that, as the Platform is partly intended for minors, online purchase (payment, delivery) is reserved for adults, acting where applicable on behalf of a minor child of whom they are the parent or legal guardian.

Article 1 — Purpose

These General Terms of Use and Sale (hereinafter the "CGU/CGV") define the terms and conditions under which SkillED makes its mobile application, its website and the associated services available, as well as the rights and obligations of the parties when consulting the Platform, creating an account, and purchasing a Starter Kit or other SkillED products online.

Any registration, browsing or purchase action on the Platform implies full and unreserved acceptance of these CGU/CGV as well as of the Privacy Policy (Part 2). If you do not accept all of these conditions, you must immediately stop using the Platform.

SkillED reserves the right to add new features or offers to the Platform in the future, which will be subject to these CGU/CGV. It is the User's responsibility to consult the latest available version before any use or purchase.

Article 2 — Who Provides the Service

The Service is operated by: [Company name of SkillED], a certified Start-up, with a share capital of [amount] DZD, registered in the Commercial Register under number [RC], Fiscal Identifier [NIF], Statistical Identification Number [NIS], whose registered office is located at [full address, wilaya], Algeria.

Article 3 — Definitions

  • "Application": the SkillED mobile application, available on the App Store and Google Play.
  • "Website": the site accessible at www.skilled-dz.com.
  • "Platform": the whole constituted by the Application and the Website.
  • "Account": the User's personal space, created after registration.
  • "User": any natural person consulting the Platform or holding an Account, including minor Users for the educational use of the Application.
  • "Buyer" or "Customer": the adult placing an order for a Starter Kit, acting in their own name or on behalf of a minor for whom they are the legal guardian.
  • "Parent/Legal guardian": legal representative of a minor User, the only person authorized to create an Account for them and to make the corresponding purchases.
  • "Starter Kit": the educational physical game box SkillED, sold on the Platform.
  • "Points": the internal virtual points currency, with no real monetary value, used within the freemium model of the Application.
  • "Order": any request to purchase a Starter Kit and/or in-app purchase, validated on the Platform.

Article 4 — Access to the Service and Capacity

Consultation of the free educational content of the Platform is open to everyone, including minors, subject to compliance with Article 5 on parental consent.

However, the creation of a paid Order (Starter Kit, boxes) and online payment are reserved for natural persons of legal age (18 and over) having full legal capacity, or a duly represented legal entity. By placing an Order, you declare that you are at least 18 years old and, where applicable, that you have given your consent as a parent or legal guardian for a minor in your care to use the Application or the purchased Starter Kit.

Article 5 — Registration, Account and Minors

Access to certain features of the Application requires the creation of an Account via a form requesting first name, last name, email address, phone number and date of birth. Any incomplete or manifestly erroneous registration may be considered invalid.

As the Platform is partly intended for a minor audience (12-18 years old), the following rules apply mandatorily:

  • A User under 18 cannot create an Account or be the subject of data collection without the prior and verifiable authorization of a parent or legal guardian, in accordance with Law No. 18-07;
  • SkillED may request proof of this consent at any time and suspend the Account pending its receipt;
  • The parent/legal guardian remains responsible for supervising the minor's use of the Application, as well as for any Order placed on their behalf;
  • No commercial prospecting is addressed directly to a minor User without the consent of their legal representative.

The Account holder is solely responsible for the confidentiality of their credentials. Any loss, theft or unauthorized use must be reported without delay to contact@skilled-dz.com.

Article 6 — Description of the Services

The Platform offers: a gamified mobile application (quizzes, modules, levels, badges, points) organized around four worlds (Entrepreneurship, Financial Education, Creativity & Branding, Technopreneurship); an informative and transactional website; Starter Kits sold online; and workshops and training sessions, online or in person.

SkillED reserves the right to evolve, suspend or modify all or part of the Services at any time, for technical, pedagogical or commercial reasons, without giving rise to any right to compensation, subject to already confirmed Orders.

Article 7 — Ordering a Starter Kit Online

7.1 Ordering process

To order a Starter Kit on the Website or the Application, the Buyer must:

  • Select the desired Starter Kit(s) and add them to the cart;
  • Enter or confirm their details (first name, last name, email address, phone number, delivery address) — creating an Account is not required to order, but is recommended to easily find the Order history;
  • Choose a payment method among those offered in Article 7.3;
  • Validate the Order after having read and accepted these CGU/CGV.

Once the Order is validated, a confirmation email is sent to the address provided, specifying the Order summary, the total price (including tax), the delivery method chosen and the indicative delivery time.

The Customer may place orders 24/7 on the Platform, except for temporary unavailability of the Site for technical or maintenance reasons.

Any purchase commits the Buyer to being reachable at the communicated number and available on the agreed days and time slots for receipt and, where applicable, payment of the Order.

7.2 Product availability

The Starter Kits offered for sale on the Platform are deemed available at the time of the Order, within the limits of available stock. In the event of unavailability after validation of the Order, SkillED informs the Buyer without delay and proceeds, according to their choice, to a full refund or a postponement of delivery.

7.3 Prices and payment terms

The prices of the Starter Kits and workshops are indicated in Algerian Dinars (DZD), all taxes included (TTC), excluding any delivery costs specified before validation of the Order. The displayed prices are those in force at the time of the Order; SkillED reserves the right to modify them at any time, without effect on already confirmed Orders.

Payment may be made, according to the options available on the Platform, by:

  • Algérie Poste EDAHABIA card, in Algerian Dinars only;
  • Interbank CIB card, subject to the online payment limit authorized by the issuing bank;
  • Cash on delivery, for Orders delivered to the address indicated by the Buyer, within the limit of an amount in DZD.

Online payment relies on secure technologies (SSL/HTTPS encryption) guaranteeing the confidentiality of banking data, which are neither stored nor retained by SkillED but processed directly by the approved payment provider.

7.4 Delivery

The Starter Kit is delivered to the address indicated by the Buyer at the time of the Order, or to a pick-up point, depending on the option chosen. Delivery costs and times are indicated before validation of the Order and may vary according to the destination wilaya.

The Customer will be contacted by phone before delivery. In the event of repeated absence or unavailability of the Buyer on the agreed day and time slot, SkillED or its delivery provider may propose a new date; beyond a period of 30 days without any new contact being possible, the Order may be cancelled and refunded, less, where applicable, any delivery costs already incurred.

Deliveries are carried out by SkillED teams or partner delivery providers operating on Algerian territory.

7.5 Withdrawal right, returns and refunds

In accordance with the rules applicable to distance selling, the Buyer has a period of [7] calendar days from receipt of the Starter Kit to exercise their withdrawal right, without having to justify any reason, provided that the product is returned complete, unsealed and in its original packaging, allowing its resale.

To exercise this right, the Buyer must contact contact@skilled-dz.com indicating their Order reference. Return costs are borne by [the Buyer / SkillED, to be specified depending on the case]. The refund takes place within [14] days of receipt of the returned product, via the payment method used at the time of purchase.

This withdrawal right does not apply to registrations for a workshop whose date has already passed, nor to any unsealed Starter Kit whose educational content (single-use access codes, game cards) has already been used.

7.6 Warranty and product claims

In the event of a Starter Kit received damaged, incomplete or not conforming to the Order, the Buyer must report it to contact@skilled-dz.com within [7] days of receipt, with supporting photos. SkillED proceeds, depending on the case, to the replacement of the product or its refund, without charge to the Buyer.

Article 8 — Workshop Registration and Payment

Registration for a paid workshop via the Platform is subject to a confirmation by email specifying the price (DZD, including tax), the date, the venue or connection link, and the cancellation conditions. Any cancellation by the Customer less than [48] hours before the workshop is held may not give rise to a refund, except in duly justified force majeure cases. In the event of cancellation or postponement of the workshop by SkillED, registered participants are fully refunded or postponed to a later session, at their convenience.

Article 9 — Educational Functioning of the Platform, Points and Freemium Model

The Platform operates on a freemium model: a base of features is accessible free of charge, while certain content, levels or advantages may be unlocked using Points, obtained through the User's progress or, where applicable, by purchase.

The Points have no monetary value, are neither refundable, nor transferable, nor exchangeable for money, and may be modified (scale, method of acquisition) at any time by SkillED, without notice, while respecting the rights acquired by the User.

Article 10 — Obligations of the User and Buyer

By using the Platform and/or placing an Order, you agree to:

  • Provide accurate, up-to-date and complete information during registration and the Order; you are solely responsible for any erroneous, incomplete or obsolete information;
  • Not impersonate a third party;
  • Not place fictitious or fraudulent Orders, nor block stock without a real intention to purchase;
  • Use the Platform in accordance with its educational purpose and in compliance with the laws in force in Algeria;
  • Not publish abusive, defamatory, discriminatory, political content or content contrary to public order and good morals, in particular given the young audience of the Platform;
  • Not attempt to circumvent, disable or disrupt the technical functioning of the Platform (reverse engineering, automated data extraction, cheating on the points system, etc.);
  • Not exploit the Services for commercial purposes not authorized by SkillED.

Any breach may result in the suspension or deletion of the Account, the cancellation of ongoing Orders, without prejudice to the legal proceedings that SkillED reserves the right to bring.

Article 11 — Obligations of SkillED

  • Make the Application available free of charge on the download platforms;
  • Ensure, within reasonable limits, the availability and security of the Platform;
  • Process Orders within the announced deadlines and inform the Customer of any significant delay;
  • Protect personal data in accordance with Part 2 of these terms;
  • Respond to complaints within a reasonable time via the contact channels indicated in Article 2.

Article 12 — Intellectual Property

All the elements making up the Platform — the "SkillED" trademark, logo, mascots, graphic charters, texts, quizzes, educational modules, source code, database, content and design of the Starter Kit and other boxes — are the exclusive property of SkillED or its partners, and are protected by copyright, trademark law and, more generally, the Algerian legislation applicable in matters of intellectual property.

Any reproduction, representation, modification, publication, adaptation, extraction, resale or commercial exploitation, in whole or in part, of these elements, without the prior written authorization of SkillED, is strictly prohibited and may be the subject of legal proceedings.

Article 13 — Liability

SkillED acts with an obligation of means and implements reasonable efforts to ensure continuous and secure access to the Platform and compliant execution of Orders, without guaranteeing uninterrupted or error-free availability. SkillED cannot be held responsible for interruptions due to force majeure, maintenance operations, or failures of networks or third-party providers (telecom operators, download platforms, payment or delivery providers).

The educational content of the Platform has an educational and awareness-raising purpose; it does not in any case constitute personalized financial, legal or professional advice. SkillED declines any responsibility for decisions made on the basis of the content consulted.

SkillED cannot be held responsible for a delay or impossibility of delivery resulting from an address error or an unavailability attributable to the Customer.

Article 14 — Prohibited Conduct and Sanctions

The following are in particular prohibited: fraudulent use of the Platform, publication of illicit content, harassment of other Users or of SkillED teams, attempts to circumvent security measures, and any abusive or fictitious Order.

SkillED reserves the right, in the event of a breach, to suspend or delete the Account concerned, cancel ongoing Orders, alert the competent authorities where applicable, and bring any useful legal action.

Article 15 — Protection of Personal Data

The processing of personal data collected via the Platform, in the context of the creation of an Account, an Order or a workshop registration, is governed by the Privacy Policy set out in Part 2 of these terms, in accordance with Law No. 18-07.

Article 16 — Links and Third-Party Content

The Platform may contain links to partner sites (academic institutions, educational partners). SkillED cannot be held responsible for the content, availability or practices of these third-party sites.

Article 17 — Complaints and Contact

For any question or complaint relating to an Order or an online payment, the User may contact SkillED via: email contact@skilled-dz.com, phone [number], [days/support hours], or via www.skilled-dz.com.

Article 18 — Force Majeure

SkillED's liability cannot be engaged if the non-performance or delay in the performance of one of its obligations results from a case of force majeure, understood as any external, unforeseeable and irresistible event.

Article 19 — Severability

If a provision of these CGU/CGV is judged illegal or inapplicable by a competent court, the other provisions remain fully in force; the provision concerned will be deemed reduced to the extent necessary to make it valid, without affecting the rest of the agreement.

Article 20 — Modifications to the CGU/CGV

SkillED reserves the right to modify these CGU/CGV at any time, in particular to comply with any legal, regulatory or technical evolution. Users will be informed of any substantial modification by notification on the Platform and/or by email, at least [15] days before its entry into force. The continued use of the Services after this date constitutes acceptance of the modified CGU/CGV. The modifications have no retroactive effect on already confirmed Orders.

Article 21 — Applicable Law and Competent Jurisdiction

These CGU/CGV are governed by Algerian law, in particular Law No. 04-02 on the rules applicable to commercial practices, Law No. 09-03 on consumer protection and the repression of fraud, and Law No. 18-07 on the protection of personal data. In the event of a dispute and failing amicable resolution, the competent courts of Algiers shall have jurisdiction, subject to the mandatory rules of jurisdiction applicable to consumers.

Article 22 — Entry into Force

These CGU/CGV come into force upon their acceptance by the User, materialized by a checkbox during registration or validation of an Order on the Platform.
